The Contract Chapter 2

Ethan had butterflies in his stomach as he stood in the shower. Today was the fateful day. It would be his last "free" day if he went through with the contract. He had stayed the weekend at his family mansion with his father and brother. His anxiety was made even worse by the thought that this might be his last night in the Mansion for the next year and that his father and brother had no idea the change his life was about to take and what their reactions might be.

As he stood toweling off his hard, toned body, he knew that he was going to go through with it as he had never welched on a promise and he wasn't about to start now. After all, how bad could it really get?? And if it did get too bad, he had a way out -- an expensive way out but a way out never the less.

He elected to dress up in his best clothes just to help emphasize the major changes he would be experiencing. This included a bespoke suit, handmade leather shoes, a custom white shirt, and a red tie. He knew he would be the envy of anyone who saw him today -- man or woman.

He said goodbye to the family as he walked out the door and got into his Bentley. The family had no idea just how momentous that final goodbye was. He had just enough time to make it to the dorm to pick up his future masters.

Sam, Marc, and Brad were standing on the sidewalk in front of their dorm as the Bently pulled up to the curb beside them. They were dressed in jeans, t-shirts, and caps. None of them made any move toward the car and just stared at Ethan as he sat in the driver's seat. Finally realizing what they wanted, Ethan almost drove away and forgot the whole thing, but finally decided that he needed to get this over with.

He took a deep, fortifying breath before he shut off the car, opened the door, exited the car, and walked around the front to the passenger door which he opened. Sam smirked as he got into the car and Ethan closed the door. Ethan then opened the back passenger door and Marc got in. He finally walked around the back of the car and to the driver's side back door opening it for Brad to enter. As he walked back and got in the driver's seat, he felt a warmth on his face as a slight blush crept up his face as he realized that other students were staring at the site of the handsome, and well off, guy, playing "chauffer" to the three grubbily dressed smaller guys.

"Good..." he started to say until Sam interrupted.

"No one wants to hear from you, so shut it."

Ethan was slightly stunned at the attitude but shut up and drove to the lawyer's office while the other three conversed as friends do. The closer they got to the lawyer's office, the worse the butterflies got. He pulled into the parking lot under the building.

"What the fuck do you think you are doing?" Brad asked.

"I'm parking the car," Ethan replied.

"Great as that is your responsibility, but do you really think that we should have to walk through the garage to the office?"

Ethan looked confused for a moment before he heard, "Drop us off at the front door, asswipe, refuse valet, and park the car yourself. Don't embarrass us," was the final command.

Once again Ethan rethought this whole thing but he drove out of the lot, around the building, and to the front entrance. As he was driving there, he realized what the final comment was for. He pulled up to the front door and parked at the front door. He turned off the car and as he exited the door, he waved off James, the car valet, who was approaching them and said, "No need. I got this." James just stopped and stared. Ethan had never refused his services before.

Ethan walked around the car and opened the front door and Sam alighted. He then moved to the back door and repeated the move. He did it for a third time until all the passengers were out of the car.

"We'll meet you in the office," Sam replied. "Don't be late," he smirked. All three guys just laughed. As he went back to the driver's door, Ethan noticed the look of amusement on the valet's face. His blush deepened.

"Gentlemen," James said as he opened the door into the lobby for the three college students who started toward the desk attendant but stopped when he said "No need to come over here. They are expecting you upstairs and the elevator is waiting for you." He pointed over to the private elevator which was open.

Before walking over to the elevator, Sam walked over to the guard and whispered something into his ear. The guard looked a little wary until Sam said "Trust me."

The elevator was very luxuriously appointed. It served only two levels, the lobby, and the 30th floor as it was only for guests. The executive elevator went from the parking garage straight to the 30th floor for the higher-ups in the firm. The "normal" employees and regular guests used the public elevators.

Ethan drove the car back into the garage, parked, and walked back to the front of the building to use the guest elevator as he had done all his life. As he neared the entrance, he saw James walking toward him.

"Ethan, I was informed that you were to use the side entrance to the building," he smirked.

Ethan just stopped and looked at him, stunned. He always entered through the front door.

"Who said that?" Ethan asked and James just raised a single eyebrow and stared.

Finally realizing that this was going to be his life soon, Ethan walked beyond the front door and around to the side entrance where he had to "ring for entrance." He stood on the sidewalk getting impatient until finally, the desk worker opened the door.

"Come this way," the guard said as Ethan entered. He then followed the guard around the corner from the elevator and watched as he stopped at an interior exit door, pulled out his keys, and unlocked it.

"I was told you weren't allowed on the elevator. Don't worry the door opens directly into the offices on the 30th floor."

James had a stunned look on his face and just stared at the guard and then looked at the exit door to the outside of the building.

Seeing Ethan looking at the exit door, the guard just laughed.

"I was told that you would probably be a pussy and back out," the guard sneered.

Ethan was shocked as he had never been talked to like that by the employees of the building. Fighting down the urge to run like hell, Ethan instead said "Thank you" and walked through the door and started up the stairs. He paused when he heard the guard murmur "A little more respect from trash like that would be expected" as he released the door to walk back to the front desk.

Ethan was stunned that he was being treated this way as nothing had been finalized yet and no one should know. He turned and took one step down before he took a deep breath, turned, and started back up the stairs. He wasn't going to give anyone the satisfaction of backing out.

Ethan, in shape and diligent about his cardio workouts, was only slightly winded after the 29 flights of stairs, but he stopped to take a breath before hitting the buzzer for entrance. Once again, he had to wait a few minutes for the door to be open.

"You are late. You know we have better things to do than wait for you, don't you?" Todd sneered as he opened the door.

"You can't talk..." Ethan began.

"Sure, I can," Todd said and then whispered "Loser."

Ethan stopped speaking and just stared at Todd for a moment before saying "I'm sorry....., Sir."

Todd smirked as he led Ethan into the waiting room where Sam, Marc, and Brad were sitting and talking.

"It's about time, Ethan" Marc said. "Really should get a demerit, but as the contract hasn't officially started, guess we will let this pass for now."

Ethan just stared and didn't say anything as he began to sit.

"uhh, you stand over here," Brad said as he pointed to the space behind the sofa where the three were sitting.

He started to walk in front of the three college guys until Todd stood in front of him allowing Sam, Marc, and Brad to go first.

"I have Mr. Jones, Mr. Jenson, and Mr. James here, sir. Oh, and Ethan, also" Todd announced as he opened the door.

"Delighted to see you gentlemen," Mr. Emerson said as he stood and shook each of the three men's hands and gestured them toward the plush visitor's chairs. "You too Ethan," he said as he pointed to a spot behind the three chairs.

"May I bring you gentlemen one of our craft beers?" Todd asked. The three nodded their heads and Todd turned and left the office ignoring Ethan who had started to ask for a water.

"Well, now that you are all here, let me ask if any of you 3 have any other questions."

"No, I think we are good," Brad replied. "Our lawyers seemed to be very happy with the contract."

"Surprised but happy," Sam added.

"Yes, I have spoken with each of them and there were no complaints but there was one minor alteration suggested. Which reminds me, Ethan, did you bring your checkbook with you?"

"Yes, but why..." he began to reply.

"Excellent, I have the bill from the three lawyers and they wish to be paid today. I assured them that wouldn't be a problem. Will it?"

"No sir," Ethan said as he pulled out his checkbook and stepped up to the desk to look at the three invoices that Mr. Emerson handed to him.

"What the fuck, Emerson. Ten thousand dollars each," Ethan exclaimed. "Are they out of their damned minds? There is no way this contact review was worth ten thousand dollars each."

"Well Ethan," Mr. Preston began, "it was a rush job and, as you surely know, this is not a standard contrast. Of course, it is your right to challenge the bill if you feel it isn't fair. But if it isn't paid by the end of today, all three have indicated that they will file a lawsuit to get their money. And, of course, that would make everything very public. And it is Mr. Preston to you."

Ethan stammered but then realized that he wasn't ready for anything to be that public so he grudgingly wrote out the three checks and handed them to Mr. Preston.

At that moment, Todd walked in and handed the beers out. As he turned to exit the room, seeing that only Ethan was looking at him, he stuck his tongue out at Ethan and smirked. It wasn't often that he didn't have to kiss up to the firm's clients so he was going to enjoy it as much as he could.

"So, let's get on with the signing of the contract," Mr. Preston said.

"Now, Mr. Preston," Marc began.

"Oh, please, call me Emerson. There is no reason for us to stand on formalities." As he had said this Mr. Preston had looked up briefly at Ethan and shook his head "No."

"Okay, Emerson. You said that there has been a slight change to the contract since its first presentation."

"Oh, yes, you are right. As you know originally the contract was to start on June 1 and we had discussed how it would take some time to buy a condo and get everything set up. Therefore, it was suggested to move the start date of the contract up to today, May 1st, with the understanding that a condo will be ready to move into by June 1st at the latest. As written, Ethan would be essentially free to do as he wished in terms of buying the condo and then purchasing furniture and setting up the condo would have to wait until the contract kicked in and then you would be living in an unfurnished condo."

"Is it possible to get everything done in that short a time frame?" Brad inquired.

"As the purchase of the condominium will be done on an all-cash basis and we already have an inspector lined up to go in immediately upon deciding on a unit, a condo should easily be ready by June 1st. In addition, I have set up accounts at several stores, so that you may go ahead and begin purchasing furnishings for your individual spaces and the common spaces. However, if the contract is not in effect, you guys would be responsible for the cost if the contract was never signed. Each of the retailers understands the immediacy of this order, and knowing Ethan's importance to the community, you will receive priority consideration for any orders and any custom orders."

"I assume you have already looked at the car catalog for the Lamborghinis?"

"We have done that, but it states that the lead time can be as much as one year for a custom order?" Sam stated.

"For the average buyer, well average rich buyer yes, but knowing the importance of the Winthrop family to the community and their business, they have already gotten the basic build of the three cars and just need the colors and how you wish them outfitted to complete the order. I am assured they will be ready by June 15th at the latest."

As Mr. Preston assured the three young men that all things would be ready, Ethan began to panic. "What the hell have I agreed to," he thought. "After signing this, I will not be special anymore. The three of them will be." He began to hyperventilate a little.

"Problem, Ethan?" Mr. Preston inquired.

Marc replied, "Then there shouldn't be any issue with moving the date of the contract up right?? As you say, there would be some parts of the contract that couldn't be enforced until we are in the condominium but that wouldn't be a problem as we would not expect those to be done until possible."

"Okay then, let's begin, shall we? You will each sign five copies of the contract, one each for the three of you, one for Ethan, and one for the office to maintain. After signing, Todd will make three copies. One for Mr. Van Saint..."

This earned him some raised eyebrows from the sofa.

"As you chose him as your permanent arbitrator, he will need to be very familiar with the contract to help enforce its terms and to help the other two temporary arbitrators understand the contract."

"I'm sorry, but we had forgotten to talk to you about a change to the contract," Sam stated. This caused Ethan's stomach to tighten in apprehension.

"Of course, but at this point, it may delay things if we have to redo the contract," Mr. Preston said.

"Oh, in that case maybe we should just forget abo...." Sam began.

"BUT we could eliminate the delay if we signed the contract now and then added whatever you wished to change as an amendment if the change isn't too great of one," Mr. Preston said.

"No not really a "change" at all, just a clarification. The three of us would like to announce a list of arbitrators for the other two positions. One of which we get to pick and one those two arbitrators could choose."

Ethan looked slightly askance at that comment as he knew it probably wasn't something good.

"That could easily be done and shouldn't be a problem. Should it Ethan?"

"I shouldn't think so," Ethan said warily.

"Then what is that list?" Mr. Preston inquired.

Brad spoke for the group when he said, "The exclusive list would be Todd Wright,.."

Ethan quickly glanced up to see a slightly stunned Todd smirking behind Mr. Preston.

"Jerry Jenson, Jonathan James and Kenneth Jones."

"But those are your brothers," Ethan cried out.

Mr. Preston stated, "I agree that would be very unusual and would be considered a conflict of interest and would be frowned upon."

"Oh, I'm sure Ethan would be willing to wave the conflict of interest. We could change the arbitration method a little requiring a neutral lawyer to examine the decision making sure that it fell within the acceptable interpretation of the contract. But only as to the contract and not to the fee and penalty structure," Marc said.

"That would be acceptable," Mr. Preston said. "And very well thought out, I might add. What do you have to say, Ethan?"

Ethan just stared and didn't say anything as he thought about the consequences of such a clause.

"Told you he would pussy out," Brad said.

"yes, I must say I am disappointed, I expected much more out of him," Sam replied, ignoring Ethan all altogether.

Marc chipped in, "And I thought he was such a man of his word. Just goes to show you can't trust anybody these days."

As the three had expected, Ethan's ego kicked in. He had never reneged on an agreement and wasn't about to start now.

"I'm okay with that. But can we put it in the contract so that it becomes effective when we sign here today?" Ethan asks.

"That is a change that I think we can make easily. Just give me a few moments," Mr. Preston said as he turned to his computer. The three masters sitting on the couch just smirked at one another as they began talking about general life things and ignoring Ethan altogether.

Pulling up the original contract, Mr. Preston determined that only two clauses needed to be modified:

Each party agrees that no recourse from the arbitrator's decision is available was changed to read:

At either party's request, the decision of the arbitrators shall be reviewed by a neutral attorney to make sure the decision falls within the acceptable bounds of the contract. Said attorney can only review the portion of the decision regarding the interpretation of the contract. Fees and penalties provisions are not reviewable.

Once Mr. Preston had made the appropriate changes and gotten approval, he had Todd run off new copies of the contract. Mr. Preston handed each of the signees and copy and stated "I'll give you time to read over the contract again to make sure all is in order."

"I think we are good," Sam said and the other two agreed. They all then turned to look at Ethan.

"I'm good too," he said in a shaky voice.

"In that case let's get the signing over with."

Pressing the intercom button, Mr. Preston stated "Susan could you have Craig come in and bring his notary stamp?" He then turned to the assembled group and said, "I was going to have Todd witness it, but since he is mentioned within the contract that would not be appropriate."

"Right away Mr. Preston," she responded.

Mr. Preston then lined up the six copies of the contract on the conference table and had them sign one at a time starting with Sam, followed by Marc, then Brad, and finally Ethan.

The first three signed without any hesitation but as Ethan took the pen he paused as he looked down at the contract. He knew if he signed it, he would be either signing away his rights for at least the next year or face a very expensive exit package from the contract.

"Looks like you were right Brad, he is going to pussy out," Sam said to his fellow masters.

Emerson interrupted. "Sam, in order to keep the contract legal, you will need to keep things honest and not make stuff up."

"Well damn guys," Mark said, "I guess Ethan errr Loser really does want this. Can't wait to see his family and friend's reaction, not to mention his enemies." He grinned an evil grin.

Sam looked over at Todd and said, "Could you get rid of those old clothes for us? If you think they can be altered to fit you, take them down to the tailors and send the bill to Emerson here so loser can pay for it. That is if that is okay with you Loser."

Loser looked and simply nodded yes as he turned even redder. Could this day get any worse he thought and then realized the answer as Brad walked over and locked on a leather collar with a leash attached and handed the leash to Todd.

"Once Emerson is finished with whatever he needs to do with Loser, can you walk him out?"

The three laughed at the look of horror that passed over Loser's face.

"We will take the car back to the university, and Loser here can walk. Here is the address of the first condo we are looking at. Jerry, the real estate agent will meet us there at 1:00." He looked at Loser and said, "Don't be late or you will get another demerit which will push you up to 20 and earn you a second punishment."

Loser opened his mouth but then closed it before he said anything. `God yes this day could get worse and was going to continue to go downhill.'

"We saw that and that will be another demerit for even thinking of arguing," Mark said. "That puts you at two punishments you've earned. At this rate, all we will be doing is punishing you." The three masters laughed at this comment.

As the three started to exit the office Sam said, "Not a bad day at all. We get control over loser, he is due two punishments, which I'm sure he'll get to before the day is over, and soon we will be the proud owners of a new condo."

As the door closed, Loser looked at Emerson and said "I can't do this, I want to buy out the contract."

Emerson didn't look surprised and said "Are you sure??"

"Absolutely," loser nearly screamed.

"Todd, can you catch those three gentlemen before they leave, and please hurry."

Todd sighed with disappointment as he exited the office and caught the three masters just as they were getting into the elevator.

"Loser has changed his mind and wants to buy out of the contract," Todd said with obvious regret.

Mark looked at the other two and said, "Well it was fun while it lasted and we still get a good deal out of it plus 2 million dollars each."

Brad said, "And as per the contract he is still due two punishments." The other two just nodded as the group headed back toward the office.

Todd reached out and grabbed Sam by the shoulder, pulled him back, and whispered in his ear. The more he talked the wider the grin on Sam's face became.

"Brilliant Todd, fucking brilliant," he said quietly as they re-entered the office.
